1. Agreement to Terms

By accessing and using planwith.ai's services, whether through our web application or mobile application (collectively, the "Service"), you agree to be bound by these Terms of Use, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site or mobile application. The materials contained in this website and mobile application are protected by applicable copyright and trademark law.

These Terms of Use constitute a legally binding agreement between you and Tribble Software Private Limited, the operator of planwith.ai ("we," "us," or "our").

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on planwith.ai's website or mobile application for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials;
• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
• Attempt to decompile or reverse engineer any software contained on planwith.ai's website or mobile application;
• Remove any copyright or other proprietary notations from the materials;
• Transfer the materials to another person or "mirror" the materials on any other server;
• Use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service;
• Use any robot, spider, or other automated device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service;
• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by planwith.ai at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Account Terms

You are responsible for maintaining the security of your account and password. planwith.ai cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content posted and activity that occurs under your account.

You may not use the service for any illegal or unauthorized purpose. You must not, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

One person or legal entity may not maintain more than one free account.

You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.

Your login may only be used by one person - a single login shared by multiple people is not permitted.

4. Service Features and Limitations

4.1 Web Application Features

The web application of planwith.ai offers the following free features:

• Adding Goals and Milestones with AI suggestions
• Adding Routines that help achieve your Goals
• Adding Habits that help achieve your Goals
• Personal Context features to make AI suggestions more relevant to you
• Basic milestone tracking with due dates

We reserve the right to modify, suspend, or discontinue the web application (or any part thereof) at any time with or without notice to you, and we will not be liable to you or to any third party for any such modification, suspension, or discontinuance.

4.2 Mobile Application Features

The mobile application of planwith.ai offers both free features and premium (paid) features:

Free Features:

• All features available in the web application

Premium Features (Requiring Subscription):

• Tracking Milestones to completion with automatic goal updates
• Tracking Routines with time measurements
• Linking Habits and Routines to Goals
• Qualitative ratings for sleep, health, work and life
• AI day-end summary and critique
• Daily inspiration quotes
• Analytics for routines, habits and qualitative data
• Access to advanced AI models
• Unlimited tracking capabilities (with a limit of 20 active items per category at a time)

We make no warranties that the mobile application will be compatible with your device or will be operational at all times. We reserve the right to modify, suspend, or discontinue the mobile application (or any part thereof) at any time with or without notice to you.

4.3 Service Limitations

Both the web and mobile applications are subject to the following limitations:

• Service availability is not guaranteed and may be subject to interruptions;
• We do not guarantee that the Service will be available on an uninterrupted, secure, or error-free basis;
• We reserve the right to limit your use of the Service, including the right to restrict, suspend, or terminate your account if we believe you are in breach of these Terms or are misusing the Service;
• We may change, suspend, or discontinue any aspect of the Service at any time, including the availability of any Service feature, database, or content;
• We may impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

5. Subscription Terms

Some features of the Service, particularly in the mobile application, require a subscription. By subscribing to these features, you agree to the following:

• Your subscription will automatically renew until you cancel it;
• All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties;
• For any upgrade or downgrade in plan level, your credit card or other payment method will be charged the new rate immediately;
• Downgrading your service may cause the loss of features or capacity of your account, and we do not accept any liability for such loss;
• Subscription fees are non-refundable except where explicitly required by law;
• We reserve the right to change the subscription fees at any time, but will give you reasonable notice before your subscription is charged at a new rate;
• If your payment to us is overdue, we may, without limiting our other rights and remedies, suspend your access to premium features until we have received the amounts due;
• You may not transfer or assign your subscription to any other person or entity;
• All purchases and subscriptions are handled by third-party app stores (Apple App Store, Google Play Store) and are subject to their respective terms and conditions. We are not responsible for any payment issues or disputes related to purchases made through these platforms.

To cancel a subscription, you must follow the cancellation procedures set by the platform through which you subscribed (e.g., Apple App Store, Google Play Store). Cancellation through these platforms is subject to their respective terms and conditions.

6. AI Features and Limitations

The Service incorporates artificial intelligence ("AI") features, including but not limited to AI-powered suggestions, analysis, and critique. By using these features, you acknowledge and agree to the following:

• AI suggestions are provided for informational purposes only and should not be considered as professional advice;
• AI-generated content may not always be accurate, complete, or suitable for your specific circumstances;
• While we strive to provide high-quality AI-generated content, the nature of AI technology means that outputs may sometimes contain errors, inaccuracies, or inappropriate content;
• We do not guarantee the availability, accuracy, completeness, or usefulness of any AI-generated content;
• The AI features may change over time as we improve and update our technology;
• Free and premium versions may use different AI models with different capabilities;
• You should always exercise your own judgment when considering AI-generated suggestions;
• You are solely responsible for the decisions you make based on AI-generated content;
• We may use your interactions with the AI features to improve our services, in accordance with our Privacy Policy.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Tribble Software Private Limited and its licensors. The Service is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Tribble Software Private Limited.

All AI models, algorithms, and technologies used by the Service are the property of Tribble Software Private Limited or its licensors. You are not granted any right or license to use, modify, distribute, or create derivative works based upon these AI models, algorithms, or technologies.

You acknowledge that the AI-generated content may be based on training data that includes third-party copyrighted materials. The use of such AI-generated content may have legal implications, and you agree to use such content at your own risk.

8. User Content

You retain your rights to any content you submit, post or display on or through the service ("User Content"). By submitting, posting or displaying User Content on or through the service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content in any and all media or distribution methods.

You agree that this license includes the right for planwith.ai to:

• Make your User Content available to other users of the service, who may also use your content subject to these Terms;
• Analyze and process your User Content to improve the Service and our AI models;
• Use your User Content to provide personalized features and services to you;
• Store and maintain your User Content for as long as needed to provide the Service to you and others;
• Use your User Content to generate AI suggestions and insights, both for you and potentially for other users (in an anonymized format).

You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any User Content that you submit. You also represent that neither your User Content, nor your use and provision of your User Content, nor any use of your User Content by planwith.ai will infringe, misappropriate or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

We are not responsible or liable for any User Content. While we do not routinely screen or monitor User Content, we reserve the right to remove or modify any User Content that we determine, in our sole discretion, violates these Terms or may harm the reputation of the Service.

9. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms of Use. By using the Service, you consent to the collection, use, and sharing of your information as set forth in the Privacy Policy.

You acknowledge and agree that we may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, to facilitate the provision of software updates, product support, and other services related to the Service.

We may use this information, as long as it is in a form that does not personally identify you, to improve our products, services, and technologies, to provide services or technologies to you, and to analyze general usage patterns.

Data storage and processing may occur on servers operated by us or third parties in various locations, including outside your country of residence. By using the Service, you consent to the transfer of information outside of your country of residence where different data protection standards may apply.

10. Third-Party Services

The Service may integrate with or contain links to other applications, websites, or services ("Third-Party Services"). Those Third-Party Services may have their own terms and conditions and privacy policies, and your use of those Third-Party Services will be governed by their terms and conditions and privacy policies.

We do not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any Third-Party Services. You acknowledge and agree that we are not responsible or liable for:

THE SERVICE AND ALL CONTENT, FUNCTIONS, AND MATERIALS MADE AVAILABLE ON OR ACCESSED THROUGH THE SERVICE ARE PROVIDED "AS IS," "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT THE SERVICE OR THE FUNCTIONS, FEATURES OR CONTENT CONTAINED THEREIN WILL BE TIMELY, SECURE, ACCURATE, COMPLETE, UP-TO-DATE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Tribble Software Private Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Service.

14. Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of India without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Service shall be instituted exclusively in the courts of Bangalore, Karnataka, India, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms of Use means that you accept and agree to the changes.

For major changes, we will make reasonable efforts to provide notice prior to any new terms taking effect. We will determine what constitutes a major change in our sole discretion.
